A midnight dividend is a dividend paid just before a company goes public, typically funded by debt, to give some liquidity to manage or the shareholders prior to the IPO. In an IPO, the shareholders are typically locked up from selling their shares for at least 6 months, so the midnight dividend allows them to cash out on some of their investment prior to the IPO.
