A "close corporation" is a corporation that elects in its Certificate of Incorporation (or Articles of Incorporation) to be registered under the close corporation statutes of its state of incorporation. Some state close corporation statutes provide for a maximum number of shareholders but gives the corporation greater flexibility regarding following corporate formalities.
